Terms and Conditions

To be an authorized affiliate of Florida Professionals Association, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the Florida Professionals Association, service as an affiliate. By signing up for the Florida Professionals Association affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

Florida Professionals Association Partner Program Terms & Conditions

Effective Date: October 1, 2025

These Terms and Conditions (“Agreement”) govern participation in the Florida Professionals Association Partner Program (“Program”) operated by Florida Professionals Association, LLC (“FPA,” “we,” “us,” or “our”). By registering as a Partner (“you,” “your,” “Partner”), you agree to comply with and be bound by these terms.

1. Program Overview

The FPA Partner Program allows approved individuals and businesses to earn referral commissions for promoting FPA Memberships and related offerings.
Our mission is to create a mutually beneficial partnership where Partners help expand the FPA community while earning commissions for successful referrals.

2. Eligibility

To participate, you must:
 - Be at least 18 years old.
 - Operate a legitimate business or marketing channel compliant with all applicable laws.
 - Not engage in spam, misleading advertising, or unethical practices.
 - Be approved by FPA after submitting your application.
 - FPA reserves the right to accept or reject any application at its sole discretion.

3. Commission Structure

Partners earn a percentage of the total paid membership price for each new referred member who joins through their unique referral link or tracking code.

Partner Type:

Non-Member Partner	- Any Membership - 10% Commissions
Business Member Partner - Any Membership - 15% Commissions
Executive Member Partner - Any Membership - 20% Commissions

Commission is calculated on the net membership fee (excluding taxes, discounts, or payment processing fees).
Commissions are paid on the initial membership payment only, unless otherwise stated in writing.
Membership pricing is currently $349 (Business) and $899 (Executive) but may change at FPA’s discretion.

4. Tracking and Attribution

Each Partner receives a unique referral link or code.
Referrals must join directly through this link or code to qualify.
FPA’s tracking system is the final authority on attribution and reporting.
No retroactive credit will be given for referrals without a valid link or code.
Cookies last for 30 days from the initial click. After this period, commissions are not attributed unless the referral clicks the Partner link again.

5. Payment Terms

Commissions are paid monthly via the payment method selected in your Partner dashboard.
A 30-day hold applies to all commissions to account for cancellations, refunds, or chargebacks.
Minimum payout threshold: $300 USD.
If your balance is below this amount, it will roll over to the next payout period.
You are responsible for providing accurate payment and tax information (including W-9 if required).

6. Refunds and Chargebacks

If a referred member cancels or requests a refund within the 30-day window, the commission associated with that transaction will be voided or deducted from future payments.

7. Marketing Guidelines

You agree to represent FPA ethically and accurately. Specifically, you may not:
 - Use spam, unsolicited messages, or deceptive marketing.
 - Misrepresent FPA’s brand, services, or pricing.
 - Create websites, domains, or ads that appear to represent FPA.
 - Bid on FPA-branded keywords or trademarks.
 - Use any form of cookie stuffing, bot traffic, or fake leads.
 - Acceptable promotional channels include:
 - Personal or business websites
 - Email newsletters (to opted-in subscribers)
 - Social media posts
 - Podcasts, videos, or live events

8. Termination

FPA may terminate or suspend your participation at any time, with or without cause, including but not limited to:
 - Violation of these terms
 - Fraudulent activity
 - Misrepresentation of FPA
 - Inactivity for more than 6 months
 - Upon termination, all pending commissions are forfeited if found to be earned in violation of this Agreement.

9. Relationship of the Parties

Partners are independent contractors, not employees, agents, or representatives of FPA.
This Agreement does not create any joint venture, partnership, or employment relationship.
You may not bind FPA to any agreements or make representations on its behalf.

10. Confidentiality

Any non-public information about FPA, its members, or systems provided to you must be kept confidential and used solely for participation in this Program.

11. Limitation of Liability

FPA will not be liable for indirect, incidental, or consequential damages arising out of participation in the Program.
In no event shall FPA’s total liability exceed the total commissions paid to you in the previous 12 months.

12. Modifications

FPA reserves the right to modify these Terms at any time.
Continued participation after notification constitutes acceptance of the updated terms.
Any major changes will be communicated via email or Partner dashboard.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

We’re thrilled to have you in the Florida Professionals Association Partner Program.
As a partner, you help business owners across Florida discover new opportunities to connect, grow, and succeed — and we want to help you do it confidently and compliantly.

These guidelines make sure your promotions stay authentic, transparent, and in line with the FTC’s Endorsement Guides.

1. Be Transparent About Your Connection

Whenever you talk about Florida Professionals Association, you must clearly disclose that you’re an official partner who may earn commissions or other rewards for referrals.

Use one of these easy examples:
 - “Proud to be an #FPAPartner helping Florida businesses grow!”
 - “As an #FPAPartner, I may earn a commission if you join through my link.”
 - “This post is part of my partnership with Florida Professionals Association.”

Always include at least one of these hashtags:
#fpapartner #affiliate #floridaprofessionals

2. Where You Can Share Your Partner Link

You’re encouraged to share your FPA partner link:
 - On your social media pages, groups, and stories (especially ones you manage)
 - On your website, blog, or YouTube channel
 - In your email newsletters to opted-in contacts
 - In direct messages to personal or business connections

Avoid:
- Posting in Facebook groups or communities you don’t manage, unless promotions are allowed
 - Spamming unrelated comment sections or threads
 - Using misleading, repetitive, or “clickbait” tactics

3. Keep It Honest

Share your real experiences and genuine opinions — no exaggeration or false claims.
Don’t promise results that aren’t typical.
Only use FPA materials, logos, and statements that are provided to you or approved for partner use.

4. Disclosure Rules (FTC-Compliant Made Simple)

Always disclose every time you share a link or endorsement — even if you’ve disclosed before.
Make disclosures clear, easy to see, and hard to miss.
Don’t rely on a single “disclosure page” — each post, video, or story must stand on its own.

For videos: say it out loud and show it on screen.
For Instagram or TikTok: put the disclosure early in the caption, before “see more.”
For stories: keep the disclosure visible for the whole frame.

Good Examples:

- “#ad for Florida Professionals Association”
 - “Partnering with Florida Professionals Association to help Florida businesses grow!”
 - “Paid partnership with @FloridaProfessionals — I may earn a commission if you join.”

Not Clear Enough:

- “Thanks FPA!”
 - “Gifted” or “Hosted”
 - “#partner” or “#ambassador” by itself

5. Brand Guidelines

Only use approved logos, images, and materials from your partner dashboard.
Never alter the FPA logo or use it in a misleading way.
Represent yourself as an independent partner, not an employee or spokesperson.
Keep your tone professional, positive, and aligned with FPA’s mission to empower Florida businesses.

6. Respect the Community

We want you to promote freely but respectfully.
Build relationships — don’t spam.
Add value to conversations.
Keep posts relevant to business growth and community connection.

7. Staying in Good Standing

To remain an active partner, you agree to:
Follow these guidelines in all promotions.
Keep your partner profile and payment details up to date.
Respond quickly to any compliance requests from the FPA team.
